1. Who we are

Prochi is a mobile application operated by 1801 Partnerships Ltd, a company registered in England and Wales.

References to "Prochi", "we", "us" or "our" in these Terms refer to 1801 Partnerships Ltd.

2. Acceptance of these Terms

By creating an account or using the Prochi app, you agree to be bound by these Terms of Service and our Privacy Policy (available at https://www.prochi.app/privacy-policy).

If you do not agree to these Terms, do not use Prochi.

These Terms constitute a legally binding agreement between you and 1801 Partnerships Ltd under English law.

3. Eligibility

You must be at least 16 years old to use Prochi. By creating an account, you confirm that you are 16 or older.

If you are using Prochi on behalf of a business or organisation, you confirm that you have authority to bind that organisation to these Terms.

4. What Prochi does

Prochi is a personal relationship memory application. It allows you to:

  • Record voice notes about people you have met

  • Have those voice notes transcribed and structured by AI

  • Store memory notes, personal details, and contextual information about your contacts

  • Schedule follow-up reminders (nudges) based on your notes

  • Receive AI-generated follow-up questions before meetings

Prochi is a personal productivity tool. It is not a CRM, a social network, or a communication platform.

5. Your account

You are responsible for:

  • Keeping your login credentials secure

  • All activity that occurs under your account

  • Ensuring the information you provide on registration is accurate

You may not share your account with anyone else or create accounts on behalf of others without their knowledge.

We reserve the right to suspend or terminate your account if we reasonably believe it is being misused or that you have breached these Terms.

6. Your content and responsibilities

What you can record

Prochi allows you to record voice notes and store information about people you have met. You are solely responsible for the content you create, including any information you record about third parties.

Your obligations

By using Prochi you agree that you will:

  • Only record and store information about people in a lawful manner

  • Not use Prochi to store information about individuals who are under 16 without appropriate legal basis

  • Not use Prochi to facilitate harassment, stalking, or any unlawful activity

  • Comply with all applicable data protection laws in your jurisdiction when recording information about third parties

Third party data

The people you record memories about have not consented to being stored in Prochi. You are responsible for ensuring your use of the app is lawful with respect to those individuals. In the UK, personal use of data about others is generally exempt from data protection law, but commercial or systematic use may not be.

AI processing

Your voice recordings are sent to OpenAI for transcription and data extraction. By using Prochi, you acknowledge and consent to this processing. Please review OpenAI's privacy policy at platform.openai.com/docs/guides/privacy for information on how they handle data.

7. Subscription and payment

Free tier

Prochi offers a free tier that allows you to store up to 5 people indefinitely. Core features including voice recording, AI extraction, and nudges are available on the free tier up to this limit.

Free trial

New users receive a 7-day free trial of Prochi Pro with unlimited access. The trial begins when you create your account. No payment is required during the trial period.

Prochi Pro

After your trial ends, you may subscribe to Prochi Pro at £3.99 per month. Prochi Pro removes the 5 person limit and unlocks all features.

Billing

Prochi Pro subscriptions are billed monthly through the Apple App Store or Google Play Store, depending on the platform you use. Payment is charged to your App Store or Google Play account at confirmation of purchase.

Subscriptions automatically renew monthly unless cancelled at least 24 hours before the end of the current billing period.

Cancellation

You may cancel your subscription at any time through your App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods.

Price changes

We reserve the right to change the price of Prochi Pro. We will give you at least 30 days' notice of any price increase. Continued use of Prochi Pro after a price change takes effect constitutes your acceptance of the new price.

8. Acceptable use

You agree not to use Prochi to:

  • Violate any applicable law or regulation

  • Infringe the intellectual property rights of others

  • Transmit any content that is defamatory, abusive, threatening, or obscene

  • Attempt to gain unauthorised access to our systems or another user's account

  • Reverse engineer, decompile, or disassemble any part of the app

  • Use automated tools to scrape, extract, or interact with the app in an unauthorised manner

  • Resell or commercially exploit Prochi or its content without our written permission

9. Intellectual property

All intellectual property in the Prochi app — including its design, code, branding, and AI-generated output — is owned by or licensed to 1801 Partnerships Ltd.

You retain ownership of the content you create (your voice notes, memories, and data). By using Prochi, you grant us a limited, non-exclusive licence to process and store your content solely for the purpose of providing the service to you.

We do not use your content to train AI models or for any purpose other than operating the service.

10. Availability and changes to the service

We aim to keep Prochi available at all times but do not guarantee uninterrupted access. We may:

  • Update, modify, or discontinue features at any time

  • Carry out maintenance that results in temporary unavailability

  • Change these Terms by posting updated Terms on our website

We will notify you of material changes to these Terms via email or in-app notice at least 14 days before they take effect. Continued use of Prochi after changes take effect constitutes your acceptance of the revised Terms.

11. What happens if Prochi is sold or shut down

If 1801 Partnerships Ltd is acquired by, or merges with, another company, or if Prochi's assets are transferred to a third party, your data may be transferred as part of that transaction. Any new owner will be required to honour these Terms and our Privacy Policy, or notify you and give you the opportunity to delete your account before material changes take effect.

If we decide to shut down Prochi entirely, we will give you at least 30 days' notice and the ability to export your data before the service ends.

12. Limitation of liability

To the fullest extent permitted by English law:

  • Prochi is provided "as is" without warranties of any kind

  • We do not warrant that the app will be error-free, uninterrupted, or meet your specific requirements

  • We are not liable for any indirect, incidental, or consequential loss arising from your use of Prochi

  • Our total liability to you in any twelve-month period shall not exceed the total amount you have paid us in that period, or £50, whichever is greater

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under English law.

13. Indemnification

You agree to indemnify and hold harmless 1801 Partnerships Ltd, its officers, and employees from any claims, losses, or expenses (including legal fees) arising from your use of Prochi in breach of these Terms or applicable law.

14. Termination

You may delete your account at any time from within the app. On deletion, all your data is permanently removed from our systems within 30 days in accordance with our Privacy Policy.

We may suspend or terminate your account if you materially breach these Terms, with or without notice depending on the severity of the breach.

Clauses that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will do so.

15. Governing law and disputes

These Terms are governed by the laws of England and Wales.

Any dispute arising from these Terms or your use of Prochi will be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer resident in another part of the UK (Scotland or Northern Ireland), you may also have rights under the laws of your home jurisdiction.
